Version 1.1. Effective 15 July 2026. These Terms & Conditions govern your use of Quanta Errandly, a hyperlocal platform where people can post and accept errands, and buy and sell physical items from nearby sellers and shops. Quanta Errandly connects users — it is not a party to the deals you make with other users. By creating an account, checking out as a guest, or continuing to use the platform after these terms are published or updated, you agree to be bound by these Terms & Conditions, our Privacy Policy, and our Safety Center guidance. If you do not agree, do not use Quanta Errandly. If there is a conflict between these Terms & Conditions and another policy on the platform, these Terms prevail unless the other document expressly states otherwise. The English version of these documents is authoritative.

1. Who operates Quanta Errandly

Quanta Errandly is a product and platform operated under the QuantaBridge brand (quantabridge.uk).

QuantaBridge is not yet a formally registered legal entity. It currently operates as an independent business initiative that is undergoing formal business registration and incorporation. Until that process is complete, Quanta Errandly is built and operated by the founder under the QuantaBridge name, and the rights and responsibilities described in these terms rest with the founder personally.

QuantaBridge is not referred to or represented as a registered company, corporation, Pty Ltd, Ltd, or any other incorporated entity at this stage.

2. Eligibility

You must be able to form a legally binding contract under the laws that apply to you. Quanta Errandly does not currently enforce a minimum age check in the app — there is no age gate in our registration or checkout flows today. Most platforms of this kind require users to be at least 18 years old; we recommend you do not use the service if you do not meet the age required in your jurisdiction until we publish a formal minimum age.

You must provide accurate registration information and keep your account details up to date. One person should not maintain multiple accounts to evade restrictions, mislead other users, or abuse referral or trust features.

3. What Quanta Errandly is — and is not

Quanta Errandly is a matchmaking and listing platform. We help:

• Posters find nearby people willing to run errands (pickups, deliveries, moving help, and similar local jobs). • Buyers find nearby sellers and informal shops offering physical items for sale, with pickup or delivery.

Quanta Errandly is not an employer, courier company, retailer, payment processor, insurer, escrow agent, or agent for any user. When you hire someone for an errand or buy an item from a seller, that arrangement is directly between you and the other user. We do not guarantee that any errand will be completed, that any item will match its description, or that any user will behave appropriately.

4. Independent contractors — not employees

Users who accept and perform errands (taskers) and users who sell goods on the marketplace (sellers) act as independent contractors or independent traders — not as employees, partners, agents, or franchisees of QuantaBridge.

Taskers choose which errands to apply for, set their own availability, and arrange their own transport and equipment. QuantaBridge does not direct how work is performed, does not provide benefits, and does not withhold tax on your behalf.

You are solely responsible for your own tax registrations, returns, and compliance (including income tax and VAT where applicable), insurance, licences, and permits required for the work or sales you conduct through or because of the platform.

5. Your account

You are responsible for all activity on your account and for keeping your login credentials secure. You may register with an email address, phone number, and/or Google Sign-In. Phone verification is required before you can post an errand. Identity (ID/KYC) verification exists in the platform but is turned off by default at launch — it may be required for certain features in the future.

You may also check out as a guest in the marketplace by providing a name and phone number (or email). Guest accounts are lightweight and may not have a password until you choose to create one.

You must not share your account, impersonate another person, or use another user's account without permission. You may not transfer or sell your account to another person.

6. Errands: posters and taskers

If you post an errand, you describe the job, set a reward amount in South African Rand (ZAR), and choose pickup and (if applicable) delivery locations. Other users may apply. You may negotiate once per applicant (one counter-offer). When you select an applicant, they receive a time-limited offer they must confirm before the errand is assigned. Urgent errands have shorter offer windows than normal or low-priority ones.

Once assigned, the tasker can mark arrival, start the errand, and request completion. Only the poster can confirm completion. A chat thread is created only after assignment — there is no in-app messaging with applicants before that point.

Taskers may invite a helper on errands where the poster has allowed it. Helpers who join can see exact locations once they accept the invite.

You must not post errands that are illegal, unsafe, or that you do not genuinely intend to have performed.

7. Marketplace: buyers

Buyers browse listings and shops showing a fuzzed approximate location and a proximity label (such as "500 m away" or "Same building") rather than a precise address until a qualifying order relationship exists with the shop.

Buyers add items to a cart (stored locally in the browser until checkout), then place an order with one seller at a time. Orders move through: pending, out for delivery, delivered, or cancelled. Sellers may outsource delivery by turning it into an errand on the platform.

Because Quanta Errandly does not process payments, buyer protections that depend on a merchant holding funds (such as chargebacks through a card network) do not apply to off-platform payments arranged with sellers. Inspect items where possible before paying and keep proof of payment and chat records.

8. Marketplace: seller responsibilities

If you list items or operate a shop, you represent that:

• You have the right to sell each item and that listings are accurate (title, description, photos, price, condition, and options). • Items are lawful to sell and possess in South Africa — including no stolen goods, counterfeit goods, unlicensed weapons, controlled substances, or other prohibited products. • You will fulfil orders you accept in a timely way and communicate honestly with buyers through the app where possible. • Payment details you publish (PayShap, bank account, or phone-as-account) are correct and belong to you.

You are the merchant in marketplace transactions. Quanta Errandly does not take title to goods, does not inspect items before sale, and does not guarantee delivery unless explicitly stated in a future feature.

9. Payments

Quanta Errandly does not process payments. The platform's default payment mode is manual and offline — we do not hold, transfer, or release money between users. Do not expect in-app card payments at launch.

For errands, the reward amount is agreed between poster and tasker. Payment (cash, PayShap, bank transfer, or any method you arrange) happens directly between you, off the platform, after the errand is done unless you agree otherwise in chat.

For marketplace orders, the buyer selects a payment method at checkout (cash, PayShap, bank account, or phone number as account). The seller's payment details from their payment profile are shown so the buyer can pay directly. Any surcharge the seller configures is added to the order total in the app for display only — collection still happens outside Quanta Errandly.

Quanta Errandly is not responsible for payment disputes, failed transfers, chargebacks, or fraud in off-platform payments.

10. Referral program

Quanta Errandly runs a referral program. When someone signs up with your referral code and completes their first errand, that referral qualifies. Milestone cash credits are recorded in our ledger when you reach 3, 5, and 7 qualified referrals (R10, R20, and R50 respectively, cumulative up to R80 at 7 referrals, with a lifetime cap of R200 per referrer). Credits are not automatic bank transfers — they are paid out manually by QuantaBridge when we mark them as paid.

Referral rewards may be taxable income in your hands. You are responsible for any tax on amounts you receive. The program rules may change; material changes will be reflected in an updated version of these terms.

11. Cancellations and strikes

Either the poster or the assigned tasker may cancel an errand. Cancelling after an errand has been assigned is treated more seriously than cancelling while still unassigned.

If you cancel or no-show on assigned errands, you may receive a cancellation strike. If you accumulate three cancellation or no-show strikes within a rolling 30-day window, your profile may be automatically flagged for staff review. Repeated or serious abuse may lead to account restrictions or termination.

Marketplace order cancellations follow the order lifecycle managed by buyers and sellers in the app. The strike system described above applies to errands, not directly to marketplace orders.

12. Disputes and resolution process

We encourage users to resolve disagreements directly and in good faith through in-app chat first.

Errands: Either the poster or the assigned tasker may open a dispute while the errand is in progress or after completion. When a poster confirms completion, a 48-hour window begins during which a dispute may still be opened. Disputes are reviewed by Quanta Errandly staff, who may request information from both parties. Outcomes may be recorded as release, refund, or split decisions in the system. Our role is facilitation — we do not act as a court or binding arbitrator.

Marketplace: There is no automated timed dispute window for orders. If something goes wrong, file a report in the app (reasons include no-show, item not as described, damage, harassment, fraud, or other). Reports enter a staff moderation queue. We aim to acknowledge reports within 5 business days and will take action we consider appropriate, which may include warnings, content removal, or account suspension. We cannot compel off-platform refunds between users.

Nothing in this section prevents you from pursuing remedies under applicable law, including the Consumer Protection Act where it applies to your transaction.

13. Consumer Protection Act (South Africa)

Where the Consumer Protection Act 68 of 2008 (CPA) applies to a transaction between users, each party remains responsible for their own CPA obligations in that transaction. Quanta Errandly is a platform connecting users, not the seller of marketplace goods and not the employer of taskers.

Because payments are made directly between users outside the platform, Quanta Errandly cannot process CPA-mandated refunds on your behalf. If you believe a marketplace seller has violated the CPA, you may file a report with us and may also contact the National Consumer Commission or seek advice from consumer protection bodies.

Platform terms required by law cannot be waived by these Terms & Conditions where the CPA or other mandatory rules prohibit waiver.

14. Prohibited conduct

You must not use Quanta Errandly to:

• Break any applicable law or regulation. • Harass, threaten, defraud, or endanger other users. • Post false, misleading, or stolen listings or errands. • Sell or transport prohibited items (including weapons, controlled substances, stolen property, or counterfeit goods). • Upload content that is illegal, sexually exploitative, violent, or otherwise harmful. • Circumvent location privacy, verification, or safety features. • Scrape, reverse-engineer, or overload our systems. • Use the platform for spam, pyramid schemes, or deceptive referral abuse.

We may remove content, restrict features, or terminate accounts that violate these rules.

15. Content and intellectual property

You retain ownership of photos, text, and other content you upload. By uploading content, you grant Quanta Errandly a non-exclusive, worldwide, royalty-free licence to host, display, process, and moderate that content as needed to operate the service — including running uploaded images through our automated image moderation pipeline.

Image uploads on errands, listings, and chat may be automatically checked for NSFW or abusive content. Rejected images may be hidden from other users. Chat message text is not automatically moderated.

The Quanta Errandly name, logo, app design, and software are the property of QuantaBridge. You may not copy or use our branding without permission.

16. Trust, ratings, and verification

Quanta Errandly displays trust scores, ratings, badges, and verification status to help users make informed decisions. These signals are based on platform activity and automated rules — they are not a guarantee of safety, quality, or legal compliance.

Phone verification is required to post errands. Optional identity verification may be offered or required in the future. A verified badge reflects that we have reviewed submitted identity information — it is not a background check or criminal record clearance.

17. Insurance and assumption of risk

Quanta Errandly does not provide insurance for users, goods in transit, property damage, personal injury, or theft during errands, deliveries, or in-person meetings. You participate in errands and marketplace transactions at your own risk.

Taskers and sellers should maintain appropriate insurance (such as personal liability or goods-in-transit cover) if they consider it necessary. Posters and buyers should take reasonable precautions described in our Safety Center.

18. Limitation of liability

To the fullest extent permitted by the laws of the Republic of South Africa:

Quanta Errandly provides the platform "as is" and "as available." We do not warrant uninterrupted or error-free service.

We are not liable for the acts or omissions of users, for items exchanged, for errands performed or not performed, for off-platform payments, for injuries or losses during in-person meetings, for load-shedding or third-party service outages, or for indirect, incidental, or consequential damages arising from your use of the platform.

Our total liability to you for any claim relating to the service is limited to the greater of (a) the amount you paid to Quanta Errandly in platform fees in the twelve months before the claim, or (b) ZAR 100 — noting that the platform does not currently charge user fees, so (a) may be zero.

Nothing in these terms excludes liability that cannot be excluded under applicable South African consumer protection law.

19. Force majeure

QuantaBridge is not liable for delay or failure to perform platform obligations caused by events outside our reasonable control, including power failures (including load-shedding), internet or telecommunications outages, labour disputes, natural disasters, acts of government, failure of third-party services (SMS, email, maps, hosting, or geocoding providers), or security incidents affecting infrastructure.

20. Assignment

You may not assign or transfer your rights or obligations under these terms without our written consent.

QuantaBridge may assign these terms to a successor entity (for example, upon formal incorporation or a business transfer) by posting notice on the platform. Your continued use after such notice constitutes acceptance of the assignment where permitted by law.

21. Account suspension and termination

You may stop using Quanta Errandly at any time. To request account closure or deletion of your personal information, contact legal@quantabridge.uk. We aim to complete verified deletion requests within 30 days, subject to lawful retention exceptions described in our Privacy Policy.

We may suspend or terminate your account if you breach these terms, if we receive credible reports of harm or fraud, if your profile is flagged after repeated strikes, or if we are required to do so by law. Where reasonable, we will notify you. Termination does not affect obligations that arose before termination.

22. General provisions

Entire agreement: These Terms & Conditions, together with the Privacy Policy, Safety Center, and Third-Party Licenses page, constitute the entire agreement between you and QuantaBridge regarding use of Quanta Errandly, except for any separate written agreement we expressly enter into with you.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

No waiver: Our failure to enforce a provision is not a waiver of our right to enforce it later.

Survival: Sections that by their nature should survive termination (including liability limits, intellectual property, governing law, and dispute-related terms) will survive.

23. Governing law and jurisdiction

These Terms & Conditions are governed by the laws of the Republic of South Africa.

Any dispute between you and QuantaBridge arising from or relating to your use of Quanta Errandly that cannot be resolved informally shall be subject to the jurisdiction of the courts of the Republic of South Africa, unless mandatory consumer protection rules give you different rights.

24. Changes to these terms

We may update these Terms & Conditions from time to time. When we do, we will change the version number and "Last updated" date at the top of this page. Material changes may be communicated through the app or by email where we have your contact details.

Continued use of Quanta Errandly after the effective date of changes means you accept the updated terms. If you do not agree, you must stop using the service and may request account closure.
